Principles of Corporate Governance

Corporate Governance means the arrangement of the structure and processes of the relationships among the Board of Directors, management, employees, and shareholders, in order to build competitiveness leading to stable and sustainable long-term growth, while taking into account all stakeholders.

    People Management: Recruit and develop effective personnel.

    Innovation: Seek new innovations that make work more efficient and suitable for the current situation.

    Responsibility and Accountability: Be accountable for the performance of duties and decision-making with competence and efficiency.

    Integrity, Honesty and Fairness: Maintain credibility and integrity, and conduct business fairly toward the stakeholders of the enterprise.
  • T
    Transparency: Maintain transparency in operations that can be audited, and disclose information to relevant parties accurately and completely.

Guidelines for Conducting Business

  • Rights of Shareholders: Facilitating the exercise of shareholders' rights and holding the Annual General Meeting of Shareholders transparently in accordance with the regulations.
  • Equitable Treatment of Shareholders: Providing the opportunity to propose agenda items in advance and preventing the use of inside information (Insider Trading).
  • Role of Stakeholders: Taking comprehensive responsibility toward employees, customers, business partners, creditors, the community, society, and the environment.
  • Board Structure: Having independent directors of at least one-third of the total number of directors and not fewer than 3 persons, to ensure balance and checks and balances of power.
