EMPIRE's EGM 2/2026 Approves Every Agenda Item

Building balance across its business groups and championing a New S-Curve to strengthen sustainability

EMPIRE's shareholders voted to approve "in favor" of every agenda item at the Extraordinary General Meeting of Shareholders No. 2/2026, reflecting confidence in the Board of Directors and the management team. The Company is advancing its business-restructuring plan to build a New S-Curve focused on long-term growth — divesting the DRJ group of companies while acquiring shares in MTT and newly issued shares of SPTX — to elevate its operations, maintain balance between its existing businesses and its technology and solutions businesses, and develop a comprehensive innovation ecosystem to capture digital-economy trends. The Company reaffirmed its commitment to driving the organization forward under strict good governance, aiming to deliver sustainable returns to shareholders and to all stakeholders across the system.

Ms. Watcharaporn Suwinchai, Chief Executive Officer of Origin Global Empire Public Company Limited, or EMPIRE, in her capacity as a member of the Board of Directors, revealed that the Company held its Extraordinary General Meeting of Shareholders No. 2/2026 via electronic means, in accordance with the Emergency Decree on Electronic Meetings B.E. 2563 (2020) and other relevant regulations. The meeting resolved to approve every agenda item proposed by the Board, reflecting shareholders' confidence in the Company's business direction, organizational restructuring, and plan to build a New S-Curve through technology, in order to enhance competitiveness, create new income streams, and increase profitability sustainably in the future.

The key agenda items approved were as follows: 1. "To acknowledge the minutes of the 2026 Annual General Meeting of Shareholders," with all details as proposed, approved by a majority of the shareholders present and voting: 318,530,519 votes "in favor," representing 90.3939%.

Agenda Item 2. "To consider approving the divestment of all ordinary shares of Doctor Gel Company Limited, Organics Innovations Company Limited, and Organics Greens Farm Company Limited" — part of the Company's restructuring and business strategy to reduce constraints from existing, highly competitive businesses and increase flexibility in asset management, channeling resources into businesses that can generate higher cash flow and margins in the future. The meeting approved with 223,513,435 votes "in favor," representing 86.2605%.

Agenda Item 3. "To consider approving the acquisition of ordinary shares of Multita Company Limited," to support expansion in the technology and digital-infrastructure group — a business group with high growth potential that can generate continuous income and effectively extend the business ecosystem together with strategic partners, as well as enhance profitability and deliver long-term returns to the Company. Shareholders approved with 223,513,435 votes "in favor," representing 85.9279%.

In addition, the meeting resolved to approve Agenda Item 4. "To consider approving the acquisition of newly issued ordinary shares of SPT X Public Company Limited," under which the Company will acquire 5,000 million shares, representing 2.34% of total shares after the capital increase — part of the consideration received from divesting the DRJ business group. This transaction reflects an asset-management approach aimed at maximizing efficiency, in terms of creating opportunities to realize investment gains, managing liquidity, and enhancing future financial flexibility, with SPTX shares treated as an investment asset that can be managed in line with market conditions and the Company's future business plans. The meeting approved with 223,513,435 votes "in favor," representing 85.9279%.

Following shareholder approval, the Company is preparing to proceed with its operating plan, focusing on maintaining balance between its existing business groups and its technology and solutions businesses, alongside building a comprehensive innovation ecosystem, while opening opportunities for strategic collaboration with partners to support the expansion of the digital economy both domestically and internationally, including the development of Smart Technology, IoT, and intelligent infrastructure solutions that will serve as key mechanisms in driving operational capability and strong future profitability.
