EMPIRE Invites Shareholders to the EGM on 29 May

Helping shape the Company's future and reaffirming transparent deals that create long-term value

EMPIRE invites shareholders to attend the Extraordinary General Meeting of Shareholders No. 2/2026 on 29 May, held online, to consider resolutions on the acquisition and disposition of assets. The Company is preparing for a full-scale business restructuring, highlighting its strategic strengths as it moves toward a high-potential technology-infrastructure business that generates long-term returns and cash flow — under principles of good governance, transparency, and strong financial discipline — advancing sustainable growth and restoring the confidence of all stakeholders across the system.

Ms. Watcharaporn Suwinchai, Chief Executive Officer of Origin Global Empire Public Company Limited, or EMPIRE, in her capacity as a member of the Board of Directors, invited shareholders to attend the Extraordinary General Meeting of Shareholders (EGM) No. 2/2026 on 29 May 2026, held online, to consider and approve transactions for the acquisition and disposition of assets and the restructuring of the Company's business. These cover the divestment of all ordinary shares of the DRJ group of companies, the acquisition of shares in Multita Company Limited, or MTT, and the acquisition of newly issued shares of SPT X Public Company Limited, or SPTX. The Company has opened the opportunity for shareholders to submit questions in advance so that they receive in-depth information and complete facts to inform their voting decisions.

These transactions represent a significant strategic realignment of the business portfolio, aimed at elevating the Company's income structure and building long-term growth potential. They mark a transition from existing businesses with thin margins, high competition, and heavy working-capital requirements toward businesses driven by technology and knowledge, including solution services that comprehensively support customers' operations — under the concept of building an integrated innovation ecosystem that connects businesses, partners, and innovation so they support one another across the entire business group, from technology development and systems integration through to quality assurance — in order to create the highest-yielding assets, strengthen competitiveness, and support the growth of revenue, profitability, and sustainable cash flow.

The Company views these asset-acquisition and disposition transactions as appropriate and strategically balanced, moving assets that face competitive constraints and limited growth readiness into a new structure that is more suitable — in terms of business nature and operating vision, as well as a shared commitment to growth within the same industry — while opening business opportunities aligned with the current economic direction.

"If these transactions are approved by the shareholders' meeting, the Company will proceed with its business-restructuring plan to maintain balance between its existing operating businesses and the building of a comprehensive innovation ecosystem, which will serve as a new income source to enhance profitability and long-term growth, with a focus on managing existing assets for maximum efficiency alongside building collaboration with strategic partners to support the growth of the digital economy in the future.

At the same time, regarding the acquisition of the MTT asset, which includes an agreement to assume debt of no more than THB 9.1 million, this is a negotiation technique to change the status to that of a 'creditor' able to manage the debt in full — a benefit and asset that the Company will receive in the future. Nevertheless, the Board and management have considered these transactions comprehensively, giving primary importance to the interests of shareholders and all stakeholders, and operate under principles of good governance, transparency, and auditability, placing great emphasis on maintaining financial discipline, cost control, and continuous risk management, in order to create stable growth and sustainably restore the confidence of all stakeholders across the system," Ms. Watcharaporn said.
